Terms of Service

1. Scope of these terms

These Terms of Service govern use of the Virginia Pro Services website, quote-request forms, customer portal, online approvals, communications and payment-link features. They also describe general business practices that may apply when Virginia Pro Services provides residential carpentry, cabinetry, repair, installation or home-upgrade services.

Project-specific documents control. A signed or electronically approved estimate, proposal, contract, change order, work order or other project document may contain additional or different terms. If there is a conflict, the project-specific document controls for that project. These website terms are not intended to replace any written residential contract required by Virginia law.

2. Quotes, estimates and scope

Website inquiries and preliminary discussions are not binding offers. An estimate becomes part of a project agreement only when accepted in the manner stated in the estimate or portal and when any required deposit or other stated condition has been satisfied.

Unless specifically included in writing, an estimate does not include concealed or unforeseen conditions, code corrections, hazardous-material remediation, engineering, design services, structural modifications, utility work, specialty testing, permit fees, or work outside the stated scope.

3. Electronic approvals and customer portal

Virginia Pro Services may provide a secure customer portal for estimates, change orders, invoices, payments and project messages. Typing your name and selecting an approval action is intended to record your electronic approval of the specific estimate or change order shown at that time. Approval records may include the typed name, date and time, IP address, browser information and any note submitted with the decision.

You are responsible for keeping portal links reasonably secure and for notifying Virginia Pro Services if you believe a link has been shared or accessed without authorization.

4. Change orders and additional work

Work outside the approved scope may require a written or electronically approved change order before the additional work is performed. Change orders may increase or decrease the contract value and may affect materials, sequencing, scheduling and completion dates.

Requests made verbally, by text, email or at the job site do not automatically change the approved contract price or scope unless Virginia Pro Services confirms the change in a written project document.

5. Deposits, progress billing and final payment

Project documents may require a deposit, progress payments tied to milestones or dates, and a final payment. The applicable amounts, due dates and billing schedule will be stated in the estimate, contract or invoice.

Invoices are due by the date shown. Payments may be recorded by check, electronic payment or another method accepted by Virginia Pro Services. Online payment links may direct you to a third-party hosted checkout provider. Virginia Pro Services does not intentionally collect or store full card or bank-account credentials on its website.

Virginia Pro Services will not knowingly require payment terms that conflict with rights or protections that apply under Virginia law.

6. Scheduling and delays

Scheduling is based on the approved scope, customer availability, material availability, weather, site readiness and other project conditions. Start and completion dates stated in a project contract should be read together with any written provisions addressing events beyond the contractor's reasonable control.

Reasonable delays may result from severe weather, inspections, permitting, hidden conditions, customer-requested changes, supplier delays, utility interruptions, unavailable materials, illness, emergencies or other circumstances outside Virginia Pro Services' reasonable control. When practical, Virginia Pro Services will communicate material scheduling changes.

7. Customer responsibilities

Customers are responsible for providing lawful access to the property and work areas, disclosing known conditions that may affect the work, securing pets and personal property, identifying special building or community requirements, and providing timely decisions when selections or approvals are needed.

Unless the project documents say otherwise, customers should remove fragile or valuable items from immediate work areas and provide reasonable access to electricity, water and other utilities needed for the agreed work.

8. Materials, selections and substitutions

Specified products may occasionally become unavailable or materially delayed. Any material substitution that meaningfully changes appearance, performance or price should be communicated and, when it changes the approved scope or contract value, documented through an updated estimate or change order.

Natural wood, stone and other materials may vary in grain, color, texture and appearance. Manufactured products may also have normal production tolerances.

9. Permits, inspections and code requirements

Responsibility for permits, inspections and zoning requirements will be handled as stated in the project-specific contract. Where Virginia Pro Services is responsible for permits or inspections, the work will be administered subject to applicable local requirements. Work requested by a customer cannot require Virginia Pro Services to knowingly violate applicable law, code or permit requirements.

10. Cancellations

Cancellation rights and any project-specific cancellation charges will be stated in the applicable contract or estimate where required. Nothing in these Terms limits a cancellation right that cannot lawfully be waived. Qualifying home-solicitation transactions may carry statutory cancellation rights under Virginia law.

If a customer cancels after special-order materials have been purchased, work has begun or nonrefundable costs have been incurred, responsibility for those costs will be determined by the applicable project agreement and law.

11. Workmanship concerns and warranties

Any workmanship warranty or manufacturer warranty applicable to a project will be stated in the project documents or warranty materials. Manufacturer warranties are generally subject to the manufacturer's own terms and claim procedures.

If you believe completed work has a defect covered by an applicable warranty, contact Virginia Pro Services promptly and provide reasonable access to inspect the condition before arranging third-party corrective work, except where immediate action is reasonably necessary to prevent injury or additional property damage.

12. Existing and concealed conditions

Virginia Pro Services is not responsible for pre-existing defects or concealed conditions that could not reasonably be identified before work began. Examples can include hidden water damage, rot, mold, pests, structural movement, improper prior work, concealed wiring or plumbing, asbestos or other hazardous materials. Discovery of such conditions may require work to pause and may result in a change in scope, price or schedule.

13. Photos and project documentation

Virginia Pro Services may photograph work areas for estimating, documentation, quality control, completion records and billing support. Public marketing use of identifiable customer information or private interior details is not granted merely by accepting these Terms and should be handled separately when permission is needed.

14. Website and communications

You agree not to misuse the website, interfere with its operation, attempt unauthorized access, submit knowingly false information, or use portal or payment links belonging to another customer.

Email and text communications can be delayed, filtered or misdirected. Time-sensitive project changes, cancellations or safety issues should be confirmed directly with Virginia Pro Services.

15. Daily Report public tool

The VPS Daily Report tool is provided as a convenience for preparing construction field reports. Users are responsible for the accuracy, completeness and appropriateness of report content, photographs, recipient addresses and project information. Virginia Pro Services does not certify that a user-created report satisfies a particular contract, owner, architect, insurer, governmental agency or general contractor requirement.

An account is not required to create, print or download a guest report. Account features may allow users to save company branding, projects, photos, distribution lists and report history. Users may upload only content they are authorized to possess and distribute. Direct email requires a verified account email and may be rate limited or suspended to protect the service and mail system from abuse.

Generated reports may include a small “Prepared with” Virginia Pro Services mark. User company branding remains the primary report branding.

16. Toolbox Talk library and PDF downloads

VPS Toolbox Talks are general educational resources and do not replace employer-specific training, competent-person duties, permits, manufacturer instructions, project requirements or applicable laws and regulations. Users are responsible for selecting topics and controls appropriate to the actual work and conditions.

All Toolbox Talks may be read online without an account. Guest users are limited to one individual PDF download per day. Users with a free VPS Tools account and a verified email address may manually download up to 10 individual Toolbox Talk PDFs per day. The allowance is shared across English and Spanish versions. Bulk downloading, automated scraping of PDF files, bypassing technical download controls, or using multiple guest identities to evade the daily limit is not permitted.

Virginia Pro Services may temporarily restrict downloads when reasonably necessary to prevent abuse, protect the service or perform maintenance. These limits apply to PDF downloads and do not restrict normal online reading of the public Toolbox Talk pages.

17. Third-party services

The website may use third-party services for hosting, analytics, mapping, email, Google Calendar integration and hosted payment processing. Those services are governed by their own terms and privacy practices. Virginia Pro Services is not responsible for an outage or failure caused solely by a third-party service outside its reasonable control.

18. Limitation of website liability

Website content is provided for general information and project administration. To the fullest extent permitted by law, Virginia Pro Services is not liable for indirect, incidental or consequential damages arising solely from use or temporary unavailability of the website, customer portal or payment-link features. This limitation does not waive liability or customer rights that cannot legally be limited.

19. Disputes and governing law

Customers are encouraged to contact Virginia Pro Services first so project concerns can be reviewed and, where appropriate, inspected or corrected. Unless a project-specific agreement lawfully provides otherwise, these Terms are governed by the laws of the Commonwealth of Virginia and disputes will be handled in a court or other forum having proper jurisdiction.

20. Changes to these terms

These Terms may be updated as the website, customer portal, payment methods or business practices change. The current version will be posted on this page with its updated date. Changes do not retroactively alter a signed project agreement unless both parties agree or applicable law provides otherwise.
